Referral Program Terms

1. Who we are and what these terms cover

These Referral Program Terms (the “Referral Terms”) are between you and Reific, Inc., a Delaware corporation (“Reific”, “we”, “us”), which operates Zeds, the website at zeds.app (the “Site”). They cover the Zeds referral program (the “Referral Program”): getting a referral link or code, sharing it, and the rewards we pay for it.

By asking for a referral link you accept these Referral Terms. They are separate from our Contributor Terms, which cover the check and any data you license to us yourself, and they change nothing in them.

2. Who may take part

• You are at least 18 years old.
• You are a resident of the United States or of the European Union or European Economic Area (EU/EEA).
• You are not an employee, officer or contractor of Reific, Inc. or of its affiliate Reific, UAB.
• You ask for a link only for yourself, with your own email address, and take part with one email address only.

3. How you earn a reward

If a person you refer (a “Referred Contributor”) licenses their data to us under a signed Contributor Agreement and we pay them for it, we pay you a reward of 10% of the amount we pay them for their data under that agreement (the “Reward”). The Reward is paid by Reific in addition to the Referred Contributor’s payment. It is never deducted from what they receive.

You earn a Reward only when all of these are true:

• the Referred Contributor came to the Site through your referral link, or typed your referral code into the form, and ticked the box to credit the person who referred them when they sent us their tally;
• they meet the eligibility rules of the Contributor Terms and signed a Contributor Agreement with us;
• their payment has cleared: 30 days have passed since we paid them, and in that time the payment was not reversed, returned or charged back.

A Reward is earned when that payment has cleared. We then pay it to you by the payout method we agree with you by email; we will ask for the details we need, including any tax forms (section 9). Rewards are in US dollars. A sent tally, an estimate or an offer alone earns nothing, and nothing is owed if we do not buy the Referred Contributor’s data.

4. One referrer per contributor

Each Referred Contributor can credit one referrer. If they ever credit more than one, the first referrer they credited stays credited. They credit you only themselves: by arriving through your link or typing your code, and ticking the box. We never assign a referral to anyone, and if they leave the box unticked, there is no Reward.

5. One level only

Rewards are for the people you refer yourself. You earn nothing for people referred by the people you referred.

6. No self-referrals, duplicates or fraud

You may not refer yourself, including under another email address or name; use more than one email address, or fake or borrowed identities, to get links or Rewards; or credit yourself through someone else. We may withhold or cancel a Reward, and end your participation, if we reasonably believe that you broke these Referral Terms, including through fraud, spam or misleading claims. If we learn of it after paying, we may ask you to repay that Reward.

7. Say that you get a reward

Wherever you share your link or code, you must clearly disclose that you get a reward if someone sells us their data through it. This is required by the US Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and by consumer protection laws in the EU. The disclosure must be:

• in the same post, message, video or story as the link or code, and close to it;
• in plain words, easy to notice and to read, not only behind a “more” link, in your profile or in a hashtag;
• in the language of the rest of what you share.

For example: “I get a referral reward if you sell your data through my link.” Share only your honest opinion and what you know to be true, and do not say you used Zeds or were paid by us unless you did.

8. How you may share your link

• No spam. Do not send your link or code to people who have not asked for it: no bulk email, messages to strangers, repeated comments or posts that are off-topic. Follow the laws on commercial messages where you and they live.
• No misleading claims. Do not promise that anyone will be paid or how much. Any mention of money must say, close to it: “Most estimates are lower; $200 needs 10–12 months of near-complete data.” Do not describe the data as anything other than de-identified, and do not suggest that you speak for Zeds or Reific.
• No ads on our names. Do not bid on Zeds, zeds.app, Reific or similar terms in search or social advertising, and do not run ads that use our names or logos.
• Follow each platform’s and community’s rules. Many forums and subreddits ban referral links; where they do, do not post yours.

9. Taxes

You are responsible for any taxes on your Rewards. If you are a US referrer, we may ask you for a Form W-9 and, where the law requires it, send you a Form 1099 for the year; we may hold back a Reward until we have the form. Wherever you live, we may ask for the information the law requires us to collect before we pay.

10. Privacy

To run the Referral Program we store your email address, your referral code, when you asked for your link and the version of these Referral Terms you accepted with our CRM provider, Attio, on the basis of the consent you give on the form. When a Referred Contributor credits you, we record the link between your record and theirs, and the Rewards we pay you. Our Privacy Notice explains how long we keep this and your rights.

Referrers never receive anyone’s health data: not the tally, the estimate, anything read from an export, or the contact details of the people they referred. We tell you only that a Reward is due, and its amount.

11. Changes, and the end of the program

We may change these Referral Terms, or change or end the Referral Program, at any time by posting the change on this page; the version number above changes when we do. Rewards earned before a change or the end are kept and paid as these Referral Terms said when they were earned.

You may stop taking part at any time by emailing zeds@reific.co; Rewards you have already earned are still paid. Nothing in these Referral Terms makes you our employee, agent or partner, and you may not make promises on our behalf.

12. Contact, law and disputes

The applicable-law and dispute provisions of the Contributor Terms (section 9, “Applicable law and your rights”) apply to these Referral Terms in the same way. Nothing in these Referral Terms limits mandatory consumer protections where you live.
