Contributor Terms
1. Who we are and what these terms cover
These Contributor Terms (the “Terms”) are between you and Reific, Inc., a Delaware corporation (“Reific”, “we”, “us”). Reific operates Zeds, the website at zeds.app (the “Site”). We are the controller of the personal data collected through the Site and, if you later license your data to us, the purchaser.
These Terms cover the check the Site runs on a health data export, and the summary (the “tally”) and contact details you may send us through it (together, the “Program”). How we handle that data is set out in our Consumer Health Data Privacy Policy and our Privacy Notice. By sending us a tally you accept these Terms.
2. What the Site does, and what it does not do
The check runs in your browser. When you choose an export file on the Site (the export from the Health app on iPhone, the zip from the Oura app, the Takeout archive from the Google Health app, or the personal-data download from the Samsung Health app, zipped or as its folder), your browser reads it on your device and produces the tally: counts of days and months, which signal categories are present and on how many days, how many nights were recorded, the kind of device, a few derived numbers, and flags for data that looks stuck, duplicated or imported. Cycle-tracking entries are read and counted only if you tick the separate box for them. The export file is not transmitted to us, and we do not receive, store or see it through the Site.
Reific is not affiliated with, endorsed or sponsored by Apple, Oura, Google or Samsung. We name their apps and devices only to say which export files the check reads.
We receive the tally and the contact details you typed only if you then fill in the form and press send; they are the only data about your health or your identity that the Program collects. The Site also keeps usage statistics, described in our Privacy Notice, which never include the tally, the estimate, anything read from your file or anything you type. Handing over the export itself, if it ever happens, is governed by the separate signed documents described in section 5, not by these Terms.
3. Who may take part
- You are at least 18 years old.
- You are a resident of the United States or of the European Union or European Economic Area (EU/EEA).
- The export is your own health data, recorded about you by a device or app you use. You may not submit data about anyone else.
- You have the right to share the tally with us and, if it comes to that, to license the data.
- You do not alter, fabricate, merge or otherwise manipulate the export to change the result. We may check this later, and we may decline or end our dealings with you if we find it.
4. The estimate is not an offer
The range the Site shows is an estimate computed from the tally alone, on a scale of up to $200 for a year of data. Most estimates are lower; $200 needs 10–12 months of near-complete data. All amounts are in US dollars.
The estimate is indicative and not binding on either side. It is not an offer to buy or license anything, not a valuation of your data for any other purpose, and not a promise that we will contact you, make an offer or agree a price. Before any agreement we run the same check on the file itself, and the figure may change if the file shows something the tally cannot. We may change how the estimate is computed at any time, and we may decline to proceed for any reason or for none.
Nothing is owed by Reific or by you unless and until the documents described in section 5 are signed.
5. Payment only under a signed agreement
If both sides want to go ahead, we will send you a Contributor Agreement. It will set out, among other things: which data is covered; how and when you hand it over; how it is de-identified; what we may and may not do with it; the payment and how it is made; security; how long we keep the data; and how you may withdraw. Any payment is made only under that agreement, after both sides have signed it and we have received the data. These Terms create no obligation to pay.
A separate sale authorization
Because we pay for the data, Washington’s My Health My Data Act, Nevada’s consumer health data law and similar laws treat our purchase as a sale of consumer health data. Before we buy anything, we will therefore also ask you to sign a sale authorization. It is a standalone document, separate from the Contributor Agreement and from the consent you give on the Site, and it states:
- the specific data it covers;
- the name and contact details of the seller;
- the name and contact details of the purchaser, Reific, Inc.;
- the purpose of the sale, including how the data will be gathered and how the purchaser will use it;
- that nothing is conditioned on your signing it;
- that you may revoke it at any time, and how to do so;
- that the purchaser may disclose the data to others, and that the data may then no longer be protected by those laws;
- its expiry date, one year after you sign it;
- your signature and the date you signed.
You do not have to sign it. Nothing we offer is conditioned on your signing: the check, the estimate and everything else on the Site stay yours whether you sign or not, and we will not treat you differently if you do not. The only consequence of not signing is that we do not buy the data.
You may revoke the authorization at any time by emailing zeds@reific.co; section 6 explains what that means for data already delivered. You receive a copy of the signed authorization, and Reific, Inc., as the purchaser, keeps one too, for at least six years from the date you sign it or the date it was last in effect, whichever is later.
An authorization is not valid, and we will not rely on it, if it has expired, if any of the items above is missing, if you have revoked it, if it has been combined with another document, or if anything was conditioned on your signing it.
6. Your submission, and changing your mind
By pressing send you ask us to process the tally and your contact details in order to assess the data, decide whether to go ahead and contact you about licensing it, and you consent to that processing.
- The tally is derived from your health data, and we treat it as consumer health data. We process it on the basis of your explicit consent, which you give by ticking the box on the Site. Your consent is freely given: the check and the estimate are yours whether or not you ever license anything, and declining has no consequence.
- We keep the tally and your contact details for up to 12 months after our last contact with you and then delete them, unless a Contributor Agreement is signed, in which case that agreement governs how long we keep them.
- You may withdraw at any time, including after signing a Contributor Agreement or a sale authorization, by emailing zeds@reific.co. We then stop using your data and leave it out of anything we build afterwards, and we delete it unless the law requires us to keep a record, such as a signed authorization or a payment. Payments already made are not clawed back. Data that was already de-identified and delivered to a client cannot be recalled. Withdrawal does not affect processing that happened before it.
- If you tick the updates box, we may send you occasional email from Zeds. You can stop it at any time with the link in each email or by writing to us.
7. Not medical advice
The tally and the estimate describe how much data there is and how complete it is. They say nothing about your health, and we do not interpret your readings. Nothing on the Site is medical advice; consult a clinician for anything about your health.
8. Disclaimer and liability
The Site and the check are provided as they are, without warranty of any kind, express or implied, including as to the accuracy of the count or the estimate, merchantability, fitness for a particular purpose or non-infringement. To the fullest extent permitted by law, Reific is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from the Program, and Reific’s total liability arising from the Program is limited to US $100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory consumer protections where you live.
9. Applicable law and your rights
The law and courts that apply to these Terms are those determined by applicable law. Nothing in these Terms limits mandatory consumer protections or changes the governing-law or dispute-resolution provisions of a separately signed agreement.
If you are a consumer in the EU, you can find information on dispute resolution bodies at consumer-redress.ec.europa.eu/dispute-resolution-bodies.
10. Changes
We may update these Terms. The version number above changes when we do, and each submission records the version you accepted. Changes do not apply to a tally you sent before them unless you agree.
